📜 Terms of Service for Zi

Effective Date: August 25th, 2025s

These Terms of Service ("Terms") govern your access to and use of the Zi mobile application ("Zi," "App," "we," "our," or "us"). By creating an account or using Zi, you agree to these Terms and our Privacy Policy.

  • We don’t owe you payouts unless you qualify through the points system
  • We may show ads and use your content (in non-exclusive ways) to promote Zi
  • If you break the rules, we can suspend or delete your account
  • Legal disputes will be handled by arbitration, and you waive class actions

1. Eligibility

You must be at least 16 years old to use the Zi app. By using the app, you affirm that you meet this requirement.


2. User Accounts

You are responsible for maintaining the confidentiality of your login credentials and are liable for all activities under your account. You must provide accurate and complete registration information.

2.A. Data Collection and Privacy

By creating an account or using Zi, you acknowledge that we collect, use, and share personal information as described in our Privacy Policy. This may include identifiers (e.g., name, email, device ID), demographic information, content you upload, and usage activity.

  • Additional rights apply under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know what data is collected, the right to access the collected data in a portable format, the right to request deletion, the right to opt-out of certain data sales or sharing, and the right to correct inaccurate information.
  • If we process sensitive personal information (such as biometric identifiers used for AR filters), users have the right to request that we limit its use to what is necessary to provide the services requested via the respective in-app toggle under settings.
  • California residents have the right to opt out of the sale or sharing of their personal information for cross-context behavioral advertising. Zi does not currently sell personal information, but we provide this disclosure as required by law.

3. User-Generated Content (UGC)

You retain ownership of any video content you upload to Zi, but by posting it, you grant Zi Social Inc. a non-exclusive, royalty-free, worldwide license to use, promote, and display your content within and outside the platform, including in promotional materials.

You are responsible for ensuring your content:

  • Does not infringe on intellectual property rights
  • Does not include NSFW, hateful, violent, or illegal material
  • Complies with all applicable laws and community standards

We reserve the right to remove or moderate any content at our discretion.


4. Content Moderation

Zi uses semi-automated moderation tools (e.g., Ziggeo) and community reporting. We may suspend or terminate accounts that violate our rules or community guidelines.


5. Points and Cash Payouts

Zi includes a performance-based points system. While users may earn rewards or payouts based on their ranking and engagement, Zi is under no obligation to pay any user unless all criteria (including ID verification and eligibility status) are met. The rules of the payout system are subject to change.

5.A. Notice of Financial Incentives

Zi may offer rewards, points, or other benefits in connection with user participation, engagement, or referrals. These programs may involve the collection and use of personal information (such as user activity, content engagement, or referral identifiers).

  • Participation is voluntary, and you may withdraw at any time by discontinuing your use of such features.
  • We do not assign a monetary value to your data; however, we estimate that the value of the data collected in connection with these programs is reasonably related to the value of the rewards offered. Full details are provided in our Privacy Policy.

6. License and Intellectual Property

Zi and all related software, trademarks, and branding are owned by Zi Social Inc. You may not copy, distribute, or reverse engineer any part of the platform without permission.


7. In-App Behavior & Restrictions

You agree not to:

  • Harass, bully, or impersonate others
  • Violate any laws or post harmful content
  • Exploit Zi’s point or payout systems
  • Use bots, automated scripts, or data scraping tools

7.A. Non-Discrimination

We will not discriminate against you for exercising any of your privacy rights under the CCPA or CPRA. This means that, unless permitted by law, we will not:

  • Deny you goods or services
  • Charge you different prices or rates
  • Provide you a different level or quality of service
  • Suggest that you may receive different treatment if you exercise your privacy rights

8. California Privacy Rights

If you are a California resident, you have the following rights under the CCPA and CPRA:

  • To know what personal information we collect, use, and disclose
  • To request access to and receive a copy of your personal information
  • To request correction or deletion of your personal information
  • To opt out of the sale or sharing of personal information
  • To request that we limit the use of sensitive personal information
  • To exercise these rights without discrimination

9. Account Termination

We may suspend or permanently delete your account if you violate these Terms, cause harm to others, or interfere with platform operations. You may request deletion at any time.


10. Disclaimers

Zi is provided “as is.” We do not guarantee uninterrupted availability or that content or metrics (e.g., points, views) are always accurate. We are not liable for content posted by other users.


11. Limitation of Liability

To the fullest extent allowed by law, Zi Social Inc. shall not be liable for any indirect, incidental, or consequential damages, including lost data or lost opportunity, arising from your use of the app.


12. Dispute Resolution — Arbitration & Waiver of Class Actions

By using Zi, you agree to resolve any disputes through binding individual arbitration under the rules of the American Arbitration Association (AAA). You waive your right to participate in any class action lawsuit or class-wide arbitration.

Exceptions:

  • You may assert claims in small claims court if they qualify.
  • Either party may seek injunctive relief for misuse of intellectual property or platform abuse.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.


14. Changes to Terms

We may update these Terms. Continued use of the App after any update constitutes your agreement to the new Terms. Material changes will be communicated via the app or by email.
